Terms of Service

Welcome to DigitalOcean. By accessing or using my website and services, you agree to these Terms of Service.

1. Who I Am

2. Services

I provide professional services including Shopify design and development, hosting setup and migrations, keyword research, competitive analysis, full website analysis, conversion rate optimization, and related consulting.

3. Engagement & Scope

All work is performed under a mutually agreed proposal or statement of work specifying scope, deliverables, timelines, and fees. Changes to scope may affect budget and schedule and must be confirmed in writing.

4. Fees & Payment

• Invoices are due within 14 calendar days unless otherwise stated.
• For fixed-fee projects, a deposit may be required before work begins.
• Late payments may incur a reasonable late fee and/or suspension of work.
• All fees exclude applicable taxes and third‑party charges (e.g., apps, themes, domains).

5. Client Responsibilities

• Provide timely access to systems, assets, stakeholders, and decision makers.
• Ensure all provided materials do not infringe third‑party rights and comply with law.
• Appoint a single point of contact to streamline feedback and approvals.

6. Intellectual Property

• Upon full payment, you receive a non‑exclusive, perpetual license to deliverables created specifically for you, excluding pre‑existing tools, libraries, and know‑how.
• Open‑source or third‑party components remain subject to their respective licenses.

7. Warranties & Disclaimer

Services are provided “as is.” I do not warrant uninterrupted or error‑free operation or guaranteed performance gains. I will remedy material defects in deliverables reported within 30 days of delivery.

8. Liability

To the maximum extent permitted by law, my aggregate liability arising out of or related to the services is limited to the amount paid for the applicable engagement. I am not liable for lost profits, loss of data, or indirect damages.

9. Confidentiality

Each party will protect confidential information received from the other and use it only for the engagement.

10. Data Protection

I handle personal data according to the Privacy Policy and applicable laws (including GDPR). A separate data processing agreement can be executed upon request at do@digitalocean.global.

11. Cancellation

Either party may terminate with written notice. You will pay for work performed and non‑recoverable costs up to the effective date of termination.

12. Governing Law

These Terms are governed by the laws of Lithuania. Disputes will be subject to the exclusive jurisdiction of the courts of Lithuania.
